Terms of Use

These terms cover your use of zenexta.com. Each Zenexta product has its own terms, which apply when you use that product.

1. About these terms

These Terms of Use (the “Terms”) govern your access to and use of zenexta.com (the “Site”), operated by Zenexta, a sole proprietorship registered in India and based in Bangalore, Karnataka, India (“Zenexta”, “we”, “us” or “our”).

By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

2. What the Site is

The Site provides information about Zenexta and its products. Nothing is sold through the Site, and you do not need an account to use it.

Our products are governed by their own terms. ZecureRFP is governed by its Terms of Service, Privacy Policy and Refund & Cancellation Policy. If those terms conflict with these Terms, the product’s own terms prevail for that product.

3. Using the Site

You may use the Site for lawful purposes only. You agree not to:

  • attempt to gain unauthorised access to the Site or the systems that host it;
  • interfere with or disrupt the Site, or introduce malicious code;
  • copy, scrape or harvest content from the Site in bulk by automated means, including to build datasets or train models, without our written permission;
  • misrepresent any affiliation with Zenexta, or use the Site to send unsolicited messages;
  • use the Site in any way that breaks applicable law or infringes anyone’s rights.

4. Intellectual property

The Site and its content, including text, graphics, design, logos and the names and marks ZENEXTA and ZecureRFP, are owned by or licensed to Zenexta and are protected by intellectual property laws.

You may view and share links to the Site for personal, non-commercial purposes. You may not otherwise copy, modify, distribute or use our content or marks without our prior written permission.

5. Disclaimer

5.1 General information only

Content on the Site is general information about Zenexta and may change without notice. It is not legal, financial, tax, investment, procurement or other professional advice.

5.2 AI-generated output

Our products use artificial intelligence. AI output can be incomplete, inaccurate or out of date. It may at times omit, misstate or wrongly attribute a citation or page reference, even where a product is designed to provide them.

All output from Zenexta products is decision support, not a decision or advice. You are solely responsible for checking output against the source documents and for every decision you make with it, including any decision to bid or not to bid. To the fullest extent permitted by law, Zenexta is not responsible for any loss arising from reliance on AI output.

5.3 Forward-looking statements

Statements about our plans, sectors, roadmap or future technology (including quantum computing) describe current intentions, not commitments. They may change at any time without notice.

5.4 No warranties

The Site is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

5.5 Third-party links

The Site links to third-party sites such as LinkedIn and X. We do not control them and are not responsible for their content, policies or practices.

6. Limitation of liability

To the fullest extent permitted by applicable law:

  • Zenexta will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, contracts or business opportunity (including lost bids), arising out of or relating to the Site;
  • Zenexta’s total liability arising out of or relating to the Site will not exceed INR 5,000.

Liability relating to a Zenexta product is governed by that product’s own terms. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

7. Indemnity

You agree to indemnify and hold harmless Zenexta, its proprietor, personnel and service providers from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Site, or your violation of any law or the rights of any third party.

8. Changes to the Site and these Terms

We may change, suspend or discontinue any part of the Site at any time. We may also update these Terms; the date at the top shows when they last changed. Continuing to use the Site after an update means you accept the updated Terms.

9. Governing law and jurisdiction

These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka, India have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site.

10. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. These Terms are the entire agreement between you and Zenexta about the Site.
